The Agreement sets forth the conditions governing your access to and use of the Company's website, mobile applications, game features, user account functionality, promotional offerings, and any related services or interactions (collectively referred to as the "Services").

By registering an account, accessing gameplay, or otherwise engaging with the Services, you represent and warrant that you meet the applicable legal age requirement, possess the authority to enter into a legally enforceable agreement, have reviewed and understood the terms contained herein, and agree to be legally bound by this Agreement.

Access to the Services and Virtual Tokens

a. Categories of Virtual Tokens

The Services incorporate digital, non-monetary tokens ("Virtual Tokens"), consisting of:

i) Gold Coins – Utilized exclusively for gameplay entertainment. Gold Coins do not carry cash value and are not redeemable for prizes.

ii) Sweepstakes Coins ("Sweeps Coins") – May be used in connection with promotional sweepstakes opportunities offering prize redemption. Sweeps Coins may be issued as promotional bonuses or obtained through qualifying promotional activities. No purchase is required to receive Sweeps Coins.

b. License Grant

Provided that you remain in compliance with these Terms, a limited, revocable, non-exclusive, non-transferable license is granted to access and use the Services solely for personal entertainment purposes.

c. Prohibition on Transfers

Transfer, sale, barter, gifting, or assignment of Virtual Tokens or User Accounts is strictly prohibited. Violations may result in account suspension or termination, forfeiture of tokens, and potential legal action.

d. No Proprietary Interest

Nothing in these Terms grants you any ownership interest in Virtual Tokens, User Accounts, or any element of the Services.

Qualification Criteria and Geographic Restrictions

a. Eligibility Requirements

Access to the Services is conditioned upon the following:

i) You must be at least twenty-one (21) years of age or the legal age of majority in your jurisdiction, whichever is greater.

ii) Use of the Services must be solely for personal entertainment.

iii) Account details must remain accurate and up to date.

iv) Only one User Account per individual is permitted.

b. Restricted Jurisdictions

Access to the Services is not permitted from the following locations: Connecticut, California, Delaware, Idaho, Kentucky, Louisiana, Michigan, Mississippi, Montana, Nevada, New Jersey, New York, South Carolina, Washington and West Virginia.

Use of VPNs, anonymization tools, device emulators, proxy services, IP manipulation methods, or other techniques intended to alter or conceal geographic or device data is prohibited. Attempts to circumvent restrictions may lead to suspension, permanent termination, forfeiture of Virtual Tokens, and disqualification from prize eligibility.

Prizes & Redemption Limits

a. Individual Play Limits

Per-play prize caps apply as follows:

– Alabama and Florida: maximum $5,000 USD per spin or play.

– Texas: maximum $1,000 USD per spin or play.

b. Additional Restrictions

Operational, compliance, or regulatory considerations may require the imposition of supplemental daily or periodic redemption limitations.

Alternative Method of Entry (AMOE)

Free Sweeps Coins may be obtained through the following methods:

Postal Submission

– A handwritten request must be prepared on a 4" x 6" card, including a valid Postal Request Code, full legal name, registered email address, mailing address, and the statement: "I request Sweeps Coins and agree to comply with the Terms of Use."

Online Submission

Account Obligations and Security

a. Responsibility for safeguarding login credentials rests solely with you. All activities conducted under your account are deemed authorized by you.

b. Notification of suspected unauthorized access or security incidents must be made promptly.

c. Inactive accounts exceeding sixty (60) consecutive days may be closed at our discretion.

Verification Procedures

Identity, geographic location, or funding source verification may be required at any time. Failure to supply requested documentation within the prescribed timeframe may result in account restriction or deactivation.

Account Closure and Deletion Requests

For security purposes, identity verification may be required prior to processing. Review of requests will occur within available days permitted by law. Failure to provide requested information may result in limitation or deactivation.

Upon completion of closure, access to the Services will terminate. Any remaining Virtual Tokens, promotional credits, or pending redemptions may be forfeited, subject to applicable law. Termination does not eliminate outstanding obligations, investigations, disputes, or chargeback processes.

Certain data may be retained where required by law, regulation, fraud prevention, or dispute resolution standards. Personal data deletion is governed separately under the Privacy Policy.

Ownership of Intellectual Property

All intellectual property rights in the Services, including software, graphics, designs, trademarks, and content, remain exclusively owned by the Company or its licensors. Use of the Services does not transfer any proprietary rights.

User Contributions

Submission of content through the Services grants the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, and display such content in connection with Service operations. Legal compliance of submitted content remains solely your responsibility.

Third-Party Integrations

Links to external websites or services may be provided for convenience. No endorsement, control, or responsibility is assumed for third-party platforms. Engagement with third-party services occurs at your own risk.

Service Disclaimer and Technical Conditions

a. Access to the Services is provided on an "as available" and "as is" basis without warranties of any kind.

b. Liability for outages, interruptions, data loss, or technical malfunctions is disclaimed to the fullest extent permitted by law.

c. In the event of inconsistency between device displays and server records, Company server data shall govern.

Limitation of Liability

To the maximum extent allowed by applicable law, total liability shall not exceed the aggregate amount paid by you within the preceding one hundred eighty (180) days. Indirect, incidental, consequential, or punitive damages are excluded.

Governing Law and Dispute Resolution

a. Governing Law

This Agreement is governed by the laws of Colorado, USA.

b. Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration conducted on an individual basis. U.S. residents shall proceed under the Consumer Arbitration Rules of the American Arbitration Association (AAA). Non-U.S. residents shall proceed under the Rules of the Singapore International Arbitration Centre (SIAC).

The seat of arbitration shall be Denver, Colorado for U.S. residents and Singapore for non-U.S. residents. Proceedings shall occur in English before a single arbitrator. Relief on a class, collective, or representative basis is not permitted.

c. Collective or representative proceedings are expressly waived.

Waiver of Class Actions and Jury Trials

EACH PARTY AGREES THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS ARE WAIVED TO THE FULLEST EXTENT PERMITTED BY LAW. CONSOLIDATION OF MULTIPLE CLAIMS IS PROHIBITED UNLESS EXPRESSLY AGREED. THE RIGHT TO A JURY TRIAL IS WAIVED.

Arbitration Opt-Out Procedure

Users may opt-out the arbitration provision by submitting a signed written notice to [email protected] within thirty (30) days of acceptance, including full legal name and contact information. Timely opt-out removes only the arbitration clause; all other Terms remain enforceable.

Miscellaneous Provisions

a. These Terms represent the entire agreement between the parties regarding the Services.

b. Responsibility for taxes arising from use of the Services remains with the User.

c. Assignment of these Terms may occur in connection with corporate restructuring, merger, or acquisition.

d. Failure to enforce any provision does not constitute waiver.
